By accepting these Terms of Use, you undertake to (i) hold Confidential Information in strict confidence and, unless required in accordance with the provisions of the following paragraph, not make the Confidential Information available to any third party, or use Confidential Information unless expressly permitted to do so by Orpheus Partners and (ii) ensure that the Confidential Information to which you have access is not disclosed or distributed by your employees, officers, shareholders, directors,  legal representatives, auditors, financial, investment or tax advisers or any other agents unless expressly permitted to do so by Orpheus Partners.

You may disclose Confidential Information to the extent such Confidential Information is required to be disclosed by law, by any governmental or other regulatory authority or by a court or other authority of competent jurisdiction, provided that, to the extent you are legally permitted to do so, you provide Orpheus Partners with notification in advance of  such disclosure.

Orpheus Partners shall not be liable for any loss, liability, claim, cost or expense incurred or suffered by you or any third party as a result of your breach of the confidentiality provisions in these Terms of Use.

Investment Process: To make an investment with Orpheus Partners, you will need to open an account with us and complete the necessary paperwork. There may be fees associated with opening and maintaining an account. We will provide you with more information on these fees during the account opening process.
